The cannabis M&A pipeline is heating up. After a quiet 2025, dealmakers are actively shopping portfolios. Multiple tier-two and tier-three MSOs are exploring strategic alternatives, from asset sales to full acquisitions. The driver? A perfect storm of low valuations, high debt, and the looming rescheduling deadline.
Valuation Pressure
Cannabis MSOs are trading at historic discounts to traditional retail multiples. Greenrose and smaller operators are well below 2x revenue—a level that makes private equity buyers salivate. For distressed operators, that discount signals opportunity for larger competitors.
Curaleaf, sitting at 6 figures in market cap, has war-chest firepower. Acquiring a discounted competitor at 1.5x revenue is mathematically cheaper than organic growth.
The Debt Equation
Many tier-two MSOs are saddled with covenant-heavy debt structures issued when interest rates were lower. Refinancing risk is real. For lenders, a strategic sale to a larger operator is preferable to a default. Debt holders often become deal facilitators.
The Rescheduling Wildcard
Federal rescheduling may actually accelerate consolidation. Why? Once cannabis is Schedule III, multistate operations become less attractive than national platforms. Interstate commerce opportunities expand, favoring scale. Smaller MSOs holding state-by-state licenses face margin compression.
