Private Equity Cannabis Wave: Why Big Money Is Moving Into Cannabis M&A
For years, private equity has treated cannabis with caution—regulatory risk, banking restrictions, and federal scheduling made the sector too unpredictable for institutional capital. That calculus has shifted dramatically in 2026. With Schedule III in place and clear pathways to interstate banking, mega-funds like Apollo, Blackstone, and KKR are signaling active interest in cannabis consolidation.
The data is compelling: cannabis MSOs now trade at 8-12x EBITDA multiples, compared to 15-20x for CPG and retail companies. The valuation gap reflects regulatory premium—a discount that PE firms are positioning to arbitrage as normalization proceeds.
The M&A Thesis
Harvest Health & Recreation (HARV) and Verano Holdings (VRNO) are positioned as acquisition targets due to their East and West Coast footprints and strong cultivation capabilities. A PE-backed platform could consolidate these regional players and create a national operator with $2B+ in revenue—a category that attracts strategic buyers in CPG and retail.
Ascend Wellness Holdings (AAWH) represents another attractive target. The company has a clean balance sheet and operations across five states. At current valuations, an acquisition would cost $400-500M—well within PE ticket sizes targeting $500M-$1B deployment.
Timing and Catalysts
The convergence of Schedule III banking access + state legalization momentum creates a 12-month window where PE can structure deals before valuations normalize. First-mover advantage is critical. Expect announcement flow to accelerate in Q2-Q3 2026.
Organigram (OGI), a Canadian LP, is a wildcard. Federal rescheduling potentially allows Canadian operators to enter the U.S. market more directly—either as acquirers or acquisition targets. Watch for cross-border M&A announcements.
